These Terms of Service (“Terms”) govern your access to and use of the 2AM Desk website and after-hours AI phone receptionist service (the “Service”). By using the Service, you agree to these Terms.

The Service

2AM Desk provides after-hours and missed-call answering for independent plumbing and HVAC businesses. The Service may answer calls, collect caller details, quote fees you approve, book jobs, and send you summaries. You remain responsible for your business operations, pricing, licensing, and the work performed for your customers.

Accounts and eligibility

You must be a business operator with authority to use the Service for your company. You agree to provide accurate information and keep your configuration (fees, service area, on-call rules, and contact details) up to date.

Fees and cancellation

Pricing is as stated on our website or in a separate agreement with you. Unless otherwise agreed, the Service is offered with a free trial period followed by a flat monthly fee. You may cancel anytime. Fees already paid are non-refundable except where required by law or expressly agreed in writing.

Call handling and limitations

The Service uses automated systems and may not be suitable for every call. You are responsible for configuring on-call transfers, approved fees, and escalation rules. We do not guarantee that every call will be answered, booked, or transferred without interruption. Telephony carriers and networks may experience delays or failures outside our control.

Intellectual property

The Service, website, branding, and related materials are owned by 2AM Desk or its licensors. You receive a limited, non-exclusive right to use the Service as provided under these Terms. You retain ownership of your business content and customer data you provide to us.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 2AM DESK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM.

Indemnification

You agree to indemnify and hold harmless 2AM Desk from claims arising out of your use of the Service, your customer relationships, your pricing or service representations, or your violation of these Terms or applicable law.

Termination

You may stop using the Service and cancel anytime. We may suspend or terminate access if you violate these Terms, misuse the Service, or if we discontinue the Service. Provisions that by their nature should survive will survive termination.

Governing law

These Terms are governed by the laws of the United States and the state in which 2AM Desk is based, without regard to conflict-of-law principles. Courts in that jurisdiction will have exclusive venue, except where prohibited by law.

Changes

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Continued use of the Service after changes become effective constitutes acceptance.

By providing your mobile number and opting in, you agree to receive text messages from 2AM Desk related to the Service. Messages may include call summaries, booking details, service notifications, and account-related alerts.
